NEGOTIATING AND DRAFTING IT CONTRACTS
A new era is rising. Technological storm in last decades has changed business environment along with almost all aspects of our lives. Worlds largest taxi firm, Uber, owns no cars. The world’s most popular media company, Facebook, creates no content. The world’s most valuable retailer, Alibaba, carries no stock. And the world’s largest accommodation provider, Airbnb, owns no property. Something big is going on. Now we are talking about cars without drivers and factories without any workers. And yet we don’t know what to do if that car makes an accident and if that factory hit by a computer virus. Who will be responsible and who will be in charge?
Some people wait for a time that machines will upraise and invade the world. We don’t know about that upraising but invasion has already occurred. When internet crushes at work, we go out because we can’t do any work without an internet connection in these days. And it is not only the internet. We need many hardware and software systems when we do our jobs even if we are aware of it or not. IT is critical to the operation of every business. When even IT is not your company’s core competency or your company’s focus, nonetheless it drives your business. And IT spending is among the top three of most companies’ expenses.
Our old fashioned laws are getting useless in this new era and new emerging regulations are insufficient and mostly too confusing to lead us to a righteous path in this technological jungle. Also new obligations come out along with these new regulations and we need to deal with them too. In business we don’t have time to wait for things to be settled down. We shall either find a way or make one.
When IT fails, businesses may lose revenue, suffer harm to their reputation, compromise the security of and lose data, face regulatory sanctions and liability, lose competitive advantage and be exposed to lawsuits from their business partners, customers, investors, employees and shareholders. Our experience about IT Contracts show that there are too many factors that can lead to a bad contract that subject a company to unnecessary expenses and risk. And in most cases those poorly drafted contracts left both sides of the contract discontented and unhappy about the result. In this training we will try to name those factors and equip the trainees with the tools they need to avoid such mistakes and avert risk. The fact that IT is one of the most critical component of any company, is the reason we have this training.
